Today the exercise period for LC-Tec’s warrants of series TO4 begins.
Today, September 11, 2023, the exercise period for LC-Tec Holding AB’s (“LC-Tec” or the “Company”) warrants of series TO4 (“TO4”) begins. The useful life starts on September 11, 2023 and lasts until September 22, 2023. Holders of TO4 are entitled to subscribe for one (1) new share in LC-Tec for each warrant at a price of SEK 0.89 per share.
The subscription price amounts to 60 percent of the volume-weighted average price during the period August 23, 2023 up to and including September 6, 2023 and thus amounts to SEK 0.89 per share in accordance with the option terms. Upon full utilization of all TO4, LC-Tec will receive approximately SEK 3.8 million. Holders of TO4 must subscribe for new shares by exercising TO4 no later than September 22, 2023 or sell their TO4 no later than September 20, 2023.
Conditions for warrants of series TO4 in summary:
Useful life: September 11 – September 22, 2023.
Terms: One (1) warrant entitles the holder to subscribe for one (1) new share.
Subscription price: SEK 0.89 per share, no brokerage fee.
Issue volume: 4 318 103 outstanding warrants of series TO4. A maximum of approximately SEK 3.8 million.
Last day for trading in warrants of series TO4: September 20, 2023.
Upon full exercise of TO4, the number of shares in LC-Tec will increase by 4,318,103, from 25,908,619 to 30,226,722 and the share capital will increase by SEK 439,310.30, from SEK 2,635,861.90 to SEK 3,075,172.20. This entails a dilution of approximately 14.3 percent based on the number of shares in LC-Tec after full utilization of all TO4. TO4 is admitted to trading on Nordic SME Sweden under the ticker “LCT TO4” and with ISIN SE0017859333. The full terms and conditions of the TO4 are available on LC-Tec’s website.
If you have your warrants registered in a nominee’s name
If the warrant holder has his/her warrants in a custody account, an investment savings account or endowment insurance (nominee-registered ownership), subscription and payment shall be made to the respective nominee who will provide further instructions on how to exercise the warrants.
For more information and for further instructions on how to exercise your warrants, please contact your nominee in good time. Note that the bank/trustee needs your notification of exercise of the warrants well before the end of the subscription period.
If you have your warrants directly registered (VP account)
No issue statement will be sent out. Subscription of new shares, through the exercise of warrants, shall be made by submitting a fully completed application form to Partner Fondkommission. An application form is sent to directly registered option holders and is also available on www.lc-tec.se. When the application form is submitted to Partner Fondkommission, payment must be made in accordance with the payment instructions on the application form. The completed application form and payment must be received by Partner Fondkommission no later than 15:00 CEST on September 22, 2023. Subscribed and paid shares will be registered on your VP account as “interim shares” or “IA” until the registration of the issue is completed with the Swedish Companies Registration Office, whereupon interim shares are automatically converted into ordinary shares in LC-Tec.
